VideoGen Affiliate Program Terms of Service (TOS)

1. Introduction

Welcome to the VideoGen Affiliate Program. By joining our program, you agree to the Terms of Service (TOS) outlined in this document. This program is designed to allow you to earn commission on sales generated through your referrals to VideoGen, an AI-powered tool that assists in the creation of video content.

2. Eligibility

To be eligible for our Affiliate Program, applicants must:

  • Be 18 years of age or older.
  • Have an active, relevant online presence (e.g., website, blog, social media).
  • Agree to this Affiliate Program TOS as well as the VideoGen TOS.

3. Enrollment

Enrollment in the Affiliate Program requires submission of an application, which is subject to review and approval by VideoGen. VideoGen reserves the right to reject any application for any reason without obligation to provide explanation.

4. Affiliate Links and Tracking

Upon acceptance, affiliates will receive unique tracking links to integrate into their platforms. These links must be used as provided to ensure accurate tracking. VideoGen uses cookies to track referrals, which are valid for up to 60 days. If a user has multiple affiliate cookies, the most recently created cookie will take precedence.

3. Commissions

Affiliates earn a commission for each sale made through their unique tracking link, at rates specified upon acceptance into the program. Commissions are paid on net sales, excluding returns and disputes, and are subject to review and approval by VideoGen.

6. Relationship of the Parties

Upon approval as a Videogen Affiliate, you'll get a unique affiliate ID to track sales. You can earn a 30% commission on each subscription attributed to your affiliate ID. When you advertise VideoGen, you must include this ID in the VideoGen URL. When a user visits the VideoGen website via a URL with your affiliate ID, VideoGen will store the affiliate ID in a cookie for a maximum of 60 days. You can only receive a commission for a purchase if your affiliate ID cookie is present at the same of purchase. If a user has multiple affiliate ID cookies, only the affiliate of the most recently created cookie will be credited with the purchase. Commissions aren't paid on your own purchases or through prohibited methods. Multiple accounts are not allowed, and commissions are adjusted for refunds and chargebacks.

Commission payments will be made monthly through a platform specified by VideoGen, provided that the affiliate has reached the minimum payout threshold of $50. If an affiliate's earned commission does not reach $50 in a given month, the balance will carry over to the next month. A commission for a purchase is not due to be paid by VideoGen until at least 30 days after the time of purchase. Affiliates must provide valid payment information and are responsible for any taxes associated with commission income.

7. Marketing and Promotion

Affiliates must promote VideoGen in an ethical and lawful manner, adhering to all applicable regulations and the following guidelines:

  1. Prohibited Practices:
  • Affiliates may not engage in misleading or deceptive advertising, including making false claims about VideoGen or disparaging VideoGen or its competitors.
  • Affiliates are strictly prohibited from bidding on branded keywords such as “VideoGen” or any variations thereof in search engines or using them in paid advertisements without prior written approval from VideoGen.
  • Google search ads, including those that redirect to affiliate links, are not permitted.
  • Affiliates must not claim to be VideoGen, misrepresent their relationship with VideoGen, or present themselves as acting on behalf of VideoGen in any way.
  • Spamming, incentivized traffic sources, and other unethical or unauthorized methods to drive traffic or generate conversions (e.g., cookie stuffing or fraudulent tactics) are strictly prohibited.
  1. FTC Compliance:
  • Affiliates must adhere to FTC guidelines, including full disclosure of affiliate relationships in a clear and conspicuous manner in all promotional content.
  1. Right to Terminate:
  • VideoGen reserves the right to terminate any affiliate account at any time, for any reason, without prior notice or obligation to provide an explanation.

These terms are designed to ensure fair and ethical promotion of VideoGen and to maintain the integrity of our affiliate program. Non-compliance with these rules will result in immediate suspension or termination of the affiliate account, with any pending commissions subject to forfeiture.

8. Relationship of the Parties

Affiliates act as independent contractors. Participation in the program does not establish any partnership, joint venture, employment, or agency relationship with VideoGen. Affiliates have no authority to bind or make commitments on behalf of VideoGen.

9. Intellectual Property

VideoGen grants affiliates a non-exclusive, non-transferable license to use our trademarks and marketing materials for the purpose of promoting our software. This license can be revoked by VideoGen at any time. Affiliates must discontinue use of these materials upon termination of this agreement.

10. Fraud and Abuse Prevention

  1. VideoGen reserves the right to investigate affiliate activity for fraud or abuse. Any suspected fraudulent activity (e.g., self-referrals, fake accounts, or unauthorized use of tracking links) will result in account suspension or termination.
  2. Pending commissions may be withheld if fraudulent behavior is confirmed.
  3. Affiliates acknowledge that VideoGen may use automated systems to detect fraud, abuse, or violations of these Terms of Service, and determinations made by such systems are valid grounds for withholding or denying payouts at any time, without further obligation to provide explanation.

11. Reporting and Communication

Affiliates must maintain accurate and up-to-date contact information, including payment details. VideoGen provides affiliates with a dashboard to monitor performance metrics, including clicks, conversions, and commissions.

12. Tax Documentation and Compliance

All affiliates are responsible for providing accurate tax documentation relevant to their residency and tax status once they reach a minimum payment threshold of $600. U.S. residents or entities must submit a completed Form W-9. Non-U.S. residents or entities are required to provide a completed Form W-8. Submission of these documents is necessary for processing payments exceeding $600 and complying with tax regulations. Failure to provide the required forms upon reaching this threshold may result in withholding taxes from payments or suspension of the affiliate account.

13. Termination

Either party may terminate the affiliate relationship at any time with written notice. Upon termination, the affiliate must remove all VideoGen trademarks, links, and promotional materials from their platforms.

14. Limitation of Liability

VideoGen will not be liable for indirect, special, or consequential damages arising in connection with this Affiliate Program. The total liability of VideoGen to any affiliate is limited to the amount of commissions paid to the affiliate in the last 12 months, or $2000, whichever one is greater.

15. Modification of Terms

VideoGen reserves the right to modify these TOS at any time. Affiliates will be notified of any changes and continued participation in the program constitutes acceptance of the new terms.

16. Data Privacy

Affiliates must comply with all applicable data protection laws, including GDPR and CCPA, in handling any data collected via the program. VideoGen is not responsible for misuse of data by affiliates.

17. Governing Law

This agreement shall be governed by the laws of the jurisdiction in which VideoGen operates, without regard to its conflict of law provisions.

By participating in the VideoGen Affiliate Program, you acknowledge that you have read, understood, and agreed to these Terms of Service.
